By accessing this Website, submitting an enquiry, requesting a quotation, purchasing or engaging our services, or otherwise interacting with Digitophile, you acknowledge that you have read and understood these Terms and agree to be bound by them to the extent applicable.
If you do not agree with these Terms, please discontinue use of the Website and do not purchase or engage our services.

2. Eligibility to Use Our Services
You may browse publicly available content on the Website regardless of age, subject to applicable law.
If you are legally incapable of entering into a binding contract in your jurisdiction, any purchase, contractual engagement or paid service must be authorised or entered into by a parent, legal guardian or other person legally authorised to act on your behalf.
Businesses and organisations engaging Digitophile represent that the individual accepting a quotation, proposal, agreement or these Terms has sufficient authority to act on behalf of that organisation.
3. Website Use
You agree to use the Website only for lawful purposes.
You must not:
- attempt to gain unauthorised access to the Website, server or connected systems;
- introduce malware, viruses, malicious scripts or harmful code;
- perform unauthorised vulnerability testing or security attacks;

- impersonate Digitophile or another individual or organisation;
- submit false, fraudulent or misleading information;
- use the Website for spam, fraud or unlawful activity;

4. Service Enquiries and Quotations
Submitting an enquiry through our Website, WhatsApp, telephone, email, social media or another communication channel does not by itself create a binding service contract.
We may review your requirements before providing:

- project timelines;
- deliverables; or
- other commercial terms.
Unless expressly stated otherwise, quotations are estimates based upon the information available when they are prepared.
If project requirements materially change, the scope, timeline and fees may also change.

- you sign a service agreement or statement of work;
- you make an agreed advance or other payment;

6. Scope of Services
The exact scope of every project will be determined by the applicable quotation, proposal, package, order, statement of work or written agreement.
Only deliverables expressly included within the agreed scope are included in the quoted fee.
Requests outside the agreed scope may constitute additional work and may require:
- additional fees;
- revised timelines; and/or
- a revised proposal or statement of work.
Digitophile is not required to provide services that were not included in the agreed scope.
7. Client Responsibilities
Successful delivery of digital services often depends upon timely client cooperation.
Clients are responsible for providing accurate and timely:
- business information;
- brand assets;
- logos;
- photographs;
- videos;
- product or service information;
- website credentials;
- hosting credentials;
- advertising account access;
- analytics access;
- social-media access;
- Google Business Profile access;
- approvals;
- feedback;
- legal disclosures;
- licences and permissions; and
- other materials reasonably required to complete the project.
Project timelines may be extended where required information, approvals, payments or access are delayed.
Digitophile will not ordinarily be responsible for delays caused by incomplete or delayed client cooperation.
8. Client-Supplied Materials
By providing text, photographs, logos, trademarks, videos, databases, designs, credentials or other materials to Digitophile, you represent that you have the necessary rights, licences, permissions and authority to use and provide those materials.
You remain responsible for the legality and accuracy of materials supplied by you.
Digitophile may decline to publish or use material that we reasonably believe:
- infringes intellectual-property rights;
- violates applicable law;
- is defamatory;
- is fraudulent or misleading;
- contains malicious code;
- violates advertising-platform policies; or
- creates material legal or security risk.
9. Fees and Pricing
Service prices may be:
- fixed;
- project-based;
- monthly;
- retainer-based;
- hourly;
- milestone-based;
- performance-related where expressly agreed; or
- structured using another agreed commercial model.
The applicable fee will be communicated before commencement of paid services.
Prices displayed on the Website may change without prior notice unless a price has already been contractually agreed for an existing engagement.
Applicable taxes, third-party charges and other costs will be identified where appropriate.
10. Third-Party Costs
Unless expressly included in a quotation, Digitophile’s professional fees do not automatically include third-party expenditure such as:
- Google Ads media spend;
- Meta Ads media spend;
- LinkedIn advertising expenditure;
- domain registration;
- website hosting;
- premium WordPress themes;
- premium plugins;
- stock photographs or videos;
- fonts or licensed assets;
- email-marketing subscriptions;
- CRM subscriptions;
- AI software subscriptions;
- automation platforms;
- payment-gateway fees;
- Shopify or ecommerce subscriptions;
- SMS or WhatsApp API charges; or
- other third-party software and services.
Such costs remain the client’s responsibility unless expressly stated otherwise.
11. Payments
Payment terms will be specified in the applicable quotation, invoice, proposal, package or service agreement.
Depending upon the service, Digitophile may require:
- full payment in advance;
- an advance followed by milestone payments;
- monthly advance payment;
- recurring payments; or
- another mutually agreed payment schedule.
Work may be paused where an agreed payment becomes overdue.
Digitophile may introduce online payment functionality using third-party payment processors.
Payment information submitted to a third-party payment gateway will also be subject to that provider’s terms and privacy practices.
12. Taxes
Prices may be subject to applicable taxes, duties or governmental charges.
Where Digitophile is legally required to collect or charge a particular tax, it will be applied as required by applicable law.
Clients remain responsible for taxes, withholding requirements or similar obligations applicable to them in their jurisdiction unless otherwise required by law.
13. International Clients and Payments
Digitophile may provide services to clients outside India.
International clients are responsible for:
- ensuring that they are legally permitted to purchase our services;
- applicable local taxes or reporting obligations;
- bank or payment-provider charges;
- foreign-exchange charges; and
- other jurisdiction-specific requirements applicable to them.
The currency and payment method applicable to an international engagement will be stated during the transaction or agreed separately.
14. Cancellation of Services
Cancellation terms may vary according to the nature and stage of a project.
Clients wishing to cancel an ongoing service should provide written notice.
Upon cancellation, the client may remain responsible for:
- work already completed;
- work already commenced;
- approved third-party expenditure;
- non-refundable third-party purchases;
- committed resources; and
- other amounts contractually due up to the effective cancellation date.
Project-specific cancellation provisions stated in a proposal or agreement will take precedence where applicable.
15. Refunds
Because many Digitophile services involve professional time, strategy, research, creative work, technical implementation and allocated resources, payments are not automatically refundable merely because a client changes their mind after work has commenced.
However, refund eligibility will be assessed fairly according to:
- the service purchased;
- work completed;
- project stage;
- expenses already incurred;
- applicable contractual terms; and
- rights available under applicable consumer law.
Nothing in these Terms is intended to exclude any refund, remedy or consumer right that cannot lawfully be excluded.
Where a separate Refund and Cancellation Policy is published or provided for a particular service, that policy will also apply.
16. Project Timelines
Any delivery date or project duration provided by Digitophile is based upon the anticipated scope, client cooperation, technical conditions and availability of necessary resources.
Unless expressly guaranteed in writing, timelines should be treated as reasonable estimates rather than unconditional guarantees.
Delays may occur due to circumstances including:
- delayed client feedback;
- delayed access or credentials;
- scope changes;
- third-party platform issues;
- API or software changes;
- hosting problems;
- advertising-platform reviews;
- search-engine changes;
- security incidents;
- force majeure events; or
- circumstances outside Digitophile’s reasonable control.
17. Revisions
The number and scope of revisions included in a project will be determined by the relevant proposal, package or agreement.
A revision generally means a reasonable modification to an existing agreed deliverable.
A request that materially changes the original concept, functionality, strategy or project scope may be treated as additional work rather than a revision.
18. Website Development
For website-development projects, the client is responsible for reviewing and approving the website before final launch.
Unless otherwise agreed, Digitophile does not guarantee perpetual compatibility with:
- future WordPress versions;
- future plugin versions;
- third-party APIs;
- browsers;
- hosting environments;
- external services; or
- software introduced after project completion.
Ongoing maintenance, security monitoring, backups and updates are separate services unless expressly included in the project scope.
19. Search Engine Optimisation
SEO involves numerous factors controlled by search engines and third parties.
Digitophile therefore does not guarantee:
- a specific Google ranking;
- a #1 ranking;
- first-page rankings;
- a specific amount of organic traffic;
- a specific number of leads;
- inclusion in AI-generated answers;
- a specific Domain Authority or similar third-party metric; or
- permanent ranking positions.
SEO performance can be affected by competition, algorithms, website condition, technical implementation, content, backlinks, user behaviour and search-engine changes.
Digitophile will perform agreed SEO work using professional methods but cannot control search-engine algorithms or ranking decisions.
20. Google Ads, Meta Ads and Paid Advertising
Digitophile may create, manage and optimise advertising campaigns on third-party platforms.
Unless expressly agreed otherwise, we do not guarantee:
- a specific cost per lead;
- a particular number of leads;
- guaranteed sales;
- guaranteed return on advertising spend;
- specific conversion rates; or
- uninterrupted advertising account availability.
Advertising performance depends upon factors including:
- budget;
- competition;
- market demand;
- offer quality;
- landing-page performance;
- audience;
- platform algorithms;
- bidding conditions; and
- client sales processes.
Advertising platforms may approve, reject, suspend or restrict advertisements and accounts independently of Digitophile.
21. Social Media Services
Social-media performance may be affected by algorithms, platform policies, audience behaviour and other factors outside our control.
Digitophile does not guarantee:
- follower growth;
- viral reach;
- engagement levels;
- leads;
- sales; or
- continued availability of any social-media account or feature.
22. AI-Assisted Services
Digitophile may use artificial-intelligence tools to support research, ideation, content development, analysis, automation, design, coding or other services.
AI-generated or AI-assisted outputs may contain inaccuracies or require human review.
Where appropriate, Digitophile will use professional judgement and human oversight, but clients remain responsible for reviewing final materials supplied for their approval before relying upon them for high-risk legal, financial, medical or regulatory decisions.
Digitophile’s marketing services do not constitute legal, financial or medical advice.
23. Analytics and Reporting
Marketing reports and analytics may rely on information provided by third-party systems including:
- Google Analytics;
- Google Search Console;
- Google Ads;
- Meta;
- social-media platforms;
- CRM systems; and
- other analytics technologies.
Such data may occasionally be delayed, sampled, revised, incomplete or affected by privacy controls and technical limitations.
Digitophile cannot guarantee the absolute accuracy or continued availability of third-party analytics data.
24. Intellectual Property – Digitophile
Unless otherwise stated, the Website and its original content, including:
- branding;
- logos;
- graphics;
- website design;
- written content;
- templates;
- methodologies;
- processes;
- presentations;
- proprietary frameworks;
- code developed for internal use; and
- other original material
are owned by or licensed to Digitophile and are protected by applicable intellectual-property laws.
No ownership rights are transferred merely by accessing the Website.
25. Intellectual Property – Client Deliverables
Ownership of custom deliverables created specifically for a client will be governed by the relevant proposal or service agreement.
Unless otherwise agreed, transfer of ownership rights in final approved custom deliverables may be conditional upon receipt of all amounts due.
Digitophile may retain ownership of:
- pre-existing intellectual property;
- reusable code;
- frameworks;
- templates;
- methodologies;
- tools;
- know-how; and
- licensed third-party materials.
Third-party assets remain subject to their respective licence terms.
26. Portfolio and Promotional Use
Unless confidentiality requirements or a written agreement provide otherwise, Digitophile may request or reserve the ability to identify completed client work in its portfolio, case studies, credentials or promotional materials.
Where commercially sensitive information or confidential performance data is involved, appropriate permission should be obtained before public disclosure.
Clients may request reasonable confidentiality arrangements in writing.
27. Confidentiality
Digitophile will take reasonable measures to protect confidential business information provided during an engagement.
Clients must likewise protect confidential information belonging to Digitophile.
Confidential information does not generally include information that:
- is already publicly available;
- was lawfully known before disclosure;
- is independently developed without using confidential information;
- is lawfully received from another source; or
- must be disclosed pursuant to law or a lawful governmental order.
More detailed confidentiality obligations may be included in a separate agreement or NDA.
28. Account Credentials and Security
Where clients provide access to websites, advertising accounts, analytics platforms or social-media accounts, clients should use secure access-sharing mechanisms whenever possible rather than unnecessarily sharing master passwords.
Digitophile will take reasonable precautions when handling credentials provided for service delivery.
Clients remain responsible for:
- maintaining secure account ownership;
- using strong passwords;
- enabling multi-factor authentication where available;
- removing unnecessary former-user access; and
- notifying us promptly of suspected account compromise.
29. Third-Party Services
Our Website and services may integrate with or rely upon third-party providers.
These may include search engines, advertising networks, hosting providers, payment processors, social-media platforms, analytics services, AI providers, WordPress plugins, scheduling services and other technology platforms.
Digitophile does not control the continued availability, policies, pricing, functionality or security of independent third-party services.

- other business results
unless a particular guarantee has been expressly made in a written agreement specifying its terms.
Business results depend on numerous factors beyond Digitophile’s control.
35. Limitation of Liability
To the maximum extent permitted by applicable law, Digitophile will not be liable for indirect, incidental, special, consequential or punitive losses arising from the use of our Website or services, including losses arising from:

Where a dispute cannot be resolved amicably, and subject to any mandatory jurisdiction or consumer-protection rights provided by applicable law, disputes relating to these Terms or Digitophile’s services shall be subject to the jurisdiction of the competent courts at Siliguri, West Bengal, India.
Nothing in this clause is intended to deprive a consumer of any non-waivable statutory right or forum available under applicable law.
